The in-office filing copy is not the document that travels
An Indian SME based in Pune was setting up a JAFZA Free Zone subsidiary in Jebel Ali. The company secretary pulled out the MOA and AOA from the office filing cabinet; the originals from the company\'s incorporation. They were the filing copies. They went through Chamber attestation at FICCI Delhi without issue. They went through MEA apostille without issue. They went to UAE Embassy attestation in Delhi without issue. They reached the JAFZA registration office and were rejected.
JAFZA wanted ROC-certified true copies of the MOA and AOA, not in-office filing copies. The certified copy is stamped by the Registrar of Companies and confirms that the document is the same as the version on the ROC register. JAFZA reads the ROC stamp as the integrity layer. The in-office filing copy does not carry that integrity.
The fix was to apply to the Delhi ROC for ROC-certified true copies of the MOA and AOA. ROC issuance took 10 working days. The new ROC-certified bundle went through Chamber, MEA, UAE Embassy, UAE MOFA again. JAFZA accepted the second bundle. The first round of attestation fees was sunk.
That case is the most common error on MOA/AOA apostille calls. The company secretary assumes the in-office original is the document. The destination registration authority assumes the ROC-certified copy is the document. We name this at intake.
What MOA and AOA are in Indian corporate law
The Memorandum of Association is the charter document of an Indian company. It states the company\'s name, registered office, objects (the business activities the company is authorised to undertake), liability, and capital structure. The MOA is the document that defines what the company can do.
The Articles of Association are the internal rules of the company. They govern share transfers, board meetings, directors\' powers, dividend distribution, winding-up procedure. The AOA defines how the company operates.
Both are filed with the Registrar of Companies (ROC) at incorporation under the Companies Act 2013. The ROC retains the originals; the company holds a filing copy. ROC-certified true copies are issued on application and bear the ROC\'s stamp and signature confirming alignment with the registered version.
When the MOA or AOA is amended (e.g., to add new objects, increase authorised capital, change registered office), the ROC issues a fresh certified copy reflecting the amended version. For documents going abroad for subsidiary setup, the current ROC-certified copy is what the destination authority reads.
Which authority will actually read this MOA/AOA
UAE Free Zones (JAFZA, DMCC, RAKEZ, ADGM, DIFC, Hamriyah, KIZAD, Sharjah Free Zones). ROC certified MOA/AOA, Chamber attestation, MEA apostille, UAE Embassy attestation + UAE MOFA attestation (inside India for both) on most categories. Some Free Zones now accept apostille-only on certain document categories; the Free Zone\'s current acceptance is the rule. Arabic translation accompanies. Apostilled passport copies of directors and shareholders alongside.
UAE Mainland (DED Dubai, Abu Dhabi DED, Sharjah Economic Department). Same sequence as Free Zones but mainland authorities tend to be more procedural about Embassy + MOFA attestation; apostille-only is less commonly accepted. Arabic translation always.
Italian SRL or SPA registration through Camera di Commercio. ROC certified MOA/AOA, Chamber attestation in India, MEA apostille (Italy is Hague), Italian translation by Embassy-empanelled translator or Italian Consulate General Mumbai empanelled translator, Italian Notar handling the SRL/SPA registration. German GmbH or AG registration through the Handelsregister. ROC certified MOA/AOA, Chamber attestation, MEA apostille (Germany is Hague), German translation by vereidigter Übersetzer in Germany, German Notar handling the GmbH registration. The Notar uses the German translation at the Handelsregister filing.
US LLC or C-Corp registration through the destination state Secretary of State. ROC certified MOA/AOA (sometimes; US LLC setup more often relies on US-side filings with the parent company\'s board resolution). Chamber attestation. MEA apostille (US is Hague). English text accepted directly. US-side attorneys handle the LLC formation; the apostilled MOA supports the parent company\'s standing.
Singapore Pte Ltd registration through ACRA. ROC certified MOA/AOA, Chamber attestation, MEA apostille (Singapore is Hague). English text accepted. ACRA reads the apostilled MOA as proof of the parent company\'s standing.
UK Companies House (subsidiary registration). Apostilled MOA/AOA, Chamber attestation usually not required by Companies House but sometimes asked for by UK banks opening the subsidiary\'s account. English text accepted.
Saudi MOFA, Saudi commercial registration. Chamber, MEA apostille (Saudi joined Hague with effect from 7 December 2022), Arabic translation. Saudi commercial registration also asks for board resolutions and authorised signatory documentation.
What this corporate-document desk will not pretend
We are not the ROC and we do not issue ROC-certified copies. ROC issuance is the Registrar\'s process; we coordinate the application but the issuance is on the Registrar\'s timeline.
We are not a UAE Free Zone consultant or a Italian commercial lawyer or a German Notar. The subsidiary setup is the destination-side counterpart\'s work; we handle the Indian-side documentary sequence that feeds into the registration.
We do not influence Free Zone registration timing or Italian Camera di Commercio review. The destination authority reads the documents on its own timeline; we deliver the apostilled bundle on time.
We are not on the Italian Embassy or the German vereidigter Übersetzer panel. For destinations requiring those translations, we work with translators who hold the credentials.
When you actually need to send us the Original
Translation of MOA and AOA runs from a scan of the ROC-certified true copy. The translator works from the multi-page document image, captures the company name, the objects clauses, the share-capital structure, the articles, and delivers the translated version on email. Hard copy with translator certification by courier where the destination Notar or Camera di Commercio asks.
Apostille on the MOA/AOA needs the Original ROC-certified copy because Chamber attestation, MEA, and embassy attestation all happen on the physical document. For UAE Free Zone subsidiary setup, Italian SRL formation, German GmbH registration, the Original ROC copy travels through Chamber, MEA, UAE Embassy + UAE MOFA (or destination embassy + MOFA). Translation runs in parallel from the scan.
French is the translation case with a different rule. Authorised French Embassy translators sometimes verify the document against the Original where the document is not digitally verifiable. For French-target translation, we confirm at intake whether the verification step applies to your specific document.
MOA/AOA custody on the outbound-FDI project clock
You can\'t mess with people\'s Original documents. MOA/AOA bundles arriving at our Noida office for outbound FDI subsidiary setup are logged with a Customer ID, a Document ID per certificate, and a Project ID tying the bundle to the subsidiary setup case.
The printed checklist that travels with the bundle is signed at every handoff: ROC collection desk (if we fetched the certified copies), Chamber intake, Chamber collection, MEA submission, MEA collection, embassy desk if applicable, MOFA where applicable, translator, courier outbound to the destination law firm or Free Zone office.
We do not use Porter, Wefast, Borzo or similar third-party parcel apps for MOA/AOA movement. Lost MOA/AOA on a Free Zone setup means a fresh ROC application, fresh Chamber attestation, fresh MEA apostille, fresh Embassy + MOFA. From the ROC certified copy to the destination Notar or Free Zone office
You WhatsApp the parent company name and the destination subsidiary setup details (UAE Free Zone, Italian SRL, German GmbH, US LLC, Singapore Pte Ltd). We confirm the destination authority\'s document ask, the work, and the timeline.
ROC certified true copies of MOA and AOA, if not already in hand, are obtained through the ROC of the company\'s registered office. We coordinate the ROC application through our representatives at Delhi, Mumbai, Bangalore, Chennai, Hyderabad, Kolkata, Ahmedabad ROC offices.
For cases where apostille is part of the work, the Originals come to our Noida office. The Customer ID, Document IDs, and Project ID go on the printed checklist at intake.
The sequence runs: Chamber of Commerce attestation (FICCI, ICC India, ASSOCHAM, PHDCCI), MEA apostille, embassy attestation for non-Hague destinations or where the destination Free Zone requires (UAE Embassy + UAE MOFA inside India), destination-language translation (Arabic for Gulf, Italian via empanelled, sworn German via vereidigter Übersetzer).

The UAE Free Zone in Jebel Ali is asking for apostilled MOA and Board Resolution. UAE is not Hague; why are they asking for apostille?
JAFZA, DMCC, RAKEZ, ADGM, DIFC and other UAE Free Zones have moved towards Hague apostille acceptance on certain document categories as part of UAE's ease-of-business reforms. For Indian-issued MOA and Board Resolution, MEA apostille is now accepted alongside or instead of the older UAE Embassy + UAE MOFA attestation sequence at some Free Zones. The acceptance varies by Free Zone and by document category. Mainland UAE company setup outside Free Zones still typically requires Embassy + MOFA attestation. We confirm with the Free Zone authority at intake.
The Italian Embassy New Delhi wants the MOA for our Italian SRL subsidiary registration. They asked for Chamber from Mumbai, not Bangalore where our company is. Why?
Italian Embassy practice is to accept Chamber of Commerce attestation from any of the apex Indian Chambers (FICCI, ICC India, ASSOCHAM, PHDCCI) or state Chambers. Where the company is in Bangalore but the Chamber attestation was done in Mumbai (Bombay Chamber, or any apex Chamber's Mumbai branch), the Embassy reads the Chamber's seal regardless of physical location. Some Italian Embassy desk officers ask for clarification on this; the Chamber attestation itself does not require origin matching the company's registered office. State-Chamber attestation is more procedurally tied to location; apex-Chamber attestation is national.
ROC issued our certificate of incorporation, but the MOA we have is the version we filed at incorporation. Is the in-office copy enough?
No. The MOA that travels abroad has to be the ROC-certified true copy of the registered MOA, not the in-office filing copy. The ROC (Registrar of Companies) issues certified true copies on application; the certified copy is stamped and signed by the ROC, confirming that the document is the same as the version on the ROC register. The certified copy is the document that goes through Chamber, MEA, embassy. The in-office filing copy without ROC certification is not accepted at apostille.
Our Indian company is private limited and we are opening a German GmbH as subsidiary. The German Notar wants apostilled MOA and AOA in German. Order of work?
ROC certified true copy of MOA and AOA from the Indian ROC. Chamber of Commerce attestation in India (FICCI, ICC India, ASSOCHAM, PHDCCI). MEA apostille (Germany is Hague). German translation by vereidigter Übersetzer in Germany, typically coordinated by the German Notar handling the GmbH setup. Some German Notare are procedural about the translation timing; apostille first, then translate to German, with the German version including the apostille text. The Notar uses the German version at the GmbH registration. Total timeline India-side: 12 to 18 working days; the German Notar's timeline is separate.
We do not have a Chamber of Commerce membership. Can we still get MOA apostilled?
The Chamber of Commerce does not require the company to be a member to attest the document; the Chambers attest commercial documents from non-member exporters and companies, sometimes on a higher fee. FICCI, ICC India, ASSOCHAM, PHDCCI all accept attestation requests from non-members. The state Chambers (Bombay Chamber, Madras Chamber, Bangalore Chamber, Indo-Saudi Joint Chamber) are sometimes more selective; apex Chambers are more open. We typically route MOA/AOA through apex Chambers when the company is not a member of a state Chamber.
For UAE Free Zone setup, do we also need apostilled passport copies of the directors?
Yes, in most cases. UAE Free Zones ask for the apostilled MOA/AOA, apostilled Board Resolution authorising the Free Zone subsidiary, apostilled passport copies of the named directors and shareholders, and sometimes apostilled bank reference letters. Passport copies go through Notary (true copy attestation), MEA apostille, UAE Embassy + UAE MOFA if the Free Zone requires it. The whole bundle is one transaction at the Free Zone registration office.
Italian SRL setup wants a Visura Camerale equivalent from India. What is the Indian equivalent?
The Italian Visura Camerale is the Chamber of Commerce extract from Italy's national company register, showing the current registered state of the company. The Indian equivalent is the ROC-issued Master Data printout or the MCA21 e-form showing the company's current status, paid-up capital, directors, registered office. The Italian Embassy and Italian Notai accept the MCA21 Master Data printout, attested by the ROC or by a CA firm, then Chamber, MEA apostille, Italian translation. The Master Data is a real-time printout; the Italian counterparts read it as the current snapshot.
How long does the MOA/AOA work take from your end?
ROC certified true copy from the Indian ROC: 7 to 15 working days depending on the ROC office (Delhi ROC, Mumbai ROC, Bangalore ROC, Chennai ROC are faster; smaller ROC offices are slower). Chamber attestation: 1 to 3 working days. MEA apostille: 3 to 5 working days. Embassy attestation (UAE, Kuwait, Qatar, Bahrain): 3 to 5 working days each. MOFA at destination (UAE inside India; Kuwait/Qatar/Bahrain in destination): 3 to 7 working days. Translation by destination-side empanelled translator: 5 to 10 working days.
